These Terms of Use (“Terms”) govern your access to and use of the Site, our content, digital downloads, reports, email communications, and services, including consultations and Prompt Audit services (collectively, the “Services”). By accessing or using the Site or Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site or Services.

1) Eligibility & Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.
If you create an account or book a service, you agree to provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

2) Permitted Use

You may use the Site and Services for lawful business or personal purposes. You agree not to:

Copy, reproduce, distribute, sell, or exploit the Site/Services or any content without prior written permission.
Reverse engineer, interfere with, or disrupt the Site or any related systems.
Upload or transmit malware or harmful code.
Use the Services to infringe any intellectual property or privacy rights, or to violate applicable laws.

We may suspend or terminate access if we believe your use violates these Terms or poses risk to us or others.

3) Intellectual Property

The Site, all content, reports, graphics, text, templates, guides, videos, charts, and other materials provided by us (collectively, “Company Content”) are owned by or licensed to The Prompt Analyst™ and are protected by intellectual property laws.
Limited License (Digital Downloads & Reports). Upon purchase or authorized download, we grant you a non-exclusive, non-transferable license for your own internal use. You may not resell, sublicense, share publicly, post as stock/resources, or redistribute our content/templates/reports without our written consent.
Client Materials. You retain ownership of any materials you provide to us. You represent you have all necessary rights to share those materials for the purposes of the Services.

3a)Digital Products - Copyright, License & Usage

Restrictions

All Prompt Analyst™ digital downloads, guides, prompt packs, prompt systems, templates, reports, keyword banks, cheat sheets, audits, and proprietary creative frameworks (collectively, “Digital Products”) are the exclusive copyrighted property of The Prompt Analyst™.

When you purchase or download a Digital Product, you receive a personal, non-exclusive, non-transferable license for your own individual use.

You MAY:

Use the prompts, systems, templates, or guides to generate your own AI images, videos, or creative work.
Save, print, or reference Digital Products for personal or internal use.
Apply the techniques or methodology within your own creative workflow.

You MAY NOT:

Resell, redistribute, or share the files (paid or free) in any format.
Upload Digital Products to any platform, marketplace, or shared drive.
Use the content to create competing prompt packs, courses, guides, analyses, or templates.
Rewrite, modify, or “rebrand” the text or systems to sell as your own.
Train AI tools or datasets on any Prompt Analyst™ content, text, or frameworks.
Use the Digital Products for commercial services that directly compete with The Prompt Analyst™.

Violation of these terms constitutes copyright infringement and may result in revoked access, refusal of future services, and legal action.

All rights not expressly granted are reserved by The Prompt Analyst™.

4) AI & Third-Party Tools - Important Notice

Our work may reference or be used with third-party AI systems or creative tools (e.g., Gemini, Midjourney, DALL·E, etc.). Those tools are governed by their own terms and policies. You are solely responsible for your compliance with third-party terms and for any content generated by such tools.
No Guarantee of Results: AI outputs can vary by model, version, training data, settings, and context. We do not warrant specific performance, accuracy, or outcomes.

5) Booking, Payments & Cancellations

Payments. Fees are due at booking/checkout unless otherwise stated. We may use third-party payment processors. By submitting payment information, you authorize us (and our processor) to charge the applicable amount and taxes/fees.
Rescheduling/Cancellations. You may request changes according to the booking page terms shown at checkout. Missed sessions may be forfeited. We reserve the right to reschedule for circumstances beyond our control.
Refunds. Unless expressly stated otherwise on the product or booking page, digital products and delivered services are non-refundable due to their nature. If you experience a technical issue, contact us at info@thepromptanalyst.com and we’ll make reasonable efforts to assist.

6) Email Communications

If you subscribe, you agree to receive periodic emails (e.g., prompt tips, case studies, offers). You can unsubscribe at any time via the link in the email. Unsubscribing may affect your access to subscriber-only content.

7) Confidentiality

We will treat non-public information you share for a Prompt Audit or consultation as confidential and use it only to deliver the Services, except where disclosure is required by law or you grant written permission. Please do not share sensitive information you are not authorized to disclose.

8) Testimonials & Portfolio

With your permission, we may reference anonymized, aggregated metrics (e.g., “PQI improved X→Y”) or high-level case studies for marketing. We will not disclose confidential details without consent.

9) No Professional Advice

The Services, reports, and content are for informational and educational purposes only. We do not provide legal, financial, accounting, or other professional advice. You are responsible for your use of the information and should consult qualified professionals as needed.

10) Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR PRODUCE ANY PARTICULAR OUTCOME.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE PROMPT ANALYST™, ITS OWNERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/REVENUE/GOODWILL, ARISING FROM OR RELATED TO THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE APPLICABLE SERVICE OR USD $100, WHICHEVER IS GREATER.

12) Indemnification

You agree to defend, indemnify, and hold harmless The Prompt Analyst™ and our affiliates, officers, directors, contractors, and employees from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of: (a) your use of the Site or Services; (b) your violation of these Terms; or (c) your violation of any third-party rights.

13) DMCA/Copyright Complaints

If you believe content on the Site infringes your copyright, please send a notice to erika@thepromptanalyst.com with:
(1) your contact information; (2) a description/URL of the allegedly infringing content; (3) a statement that you have a good-faith belief the use is not authorized; and (4) a statement under penalty of perjury that the information is accurate and you are authorized to act.

14) Privacy

Your use of the Site and Services is also governed by our Privacy Policy, which explains how we collect, use, and share information. Please review it carefully.

15) Changes to the Site or Terms

We may update, modify, or discontinue the Site/Services at any time. We may update these Terms from time to time by posting a revised version with a new “Effective date.” Your continued use after changes constitutes acceptance.

16) Governing Law & Disputes
